Approach and structure

Furuya Metal places the highest importance on compliance and ensures strict adherence to all applicable laws, regulations, and social norms.

To promote company-wide awareness and enforcement of compliance, the General Affairs and CSR Department serves as the central body overseeing related initiatives across all divisions. This department leads activities such as training programs and awareness development for officers and employees.

In addition, the Internal Audit Office, in cooperation with the General Affairs and CSR Department and the Human Resources Department, conducts regular audits of the Company’s compliance practices. The results of these activities are periodically reported to the Board of Directors and the Audit and Supervisory Committee.

Furuya Metal Code of Conduct

This code provides behavioral guidelines for all officers and employees of Furuya Metal Co., Ltd.—including personnel at the head office, plants, and overseas subsidiaries—as well as secondees, contract employees, part-time and temporary staff, and personnel seconded from other companies.
The purpose of this code is to ensure that each individual acts responsibly as a member of society, enabling the Company to fulfill its social responsibilities and continue contributing broadly to the community.

Corporate governance

  • Conducting all business activities with integrity and in full compliance with the applicable laws, regulations, and ethical standards of every country and region in which we operate is the foundation on which all officers and employees of Furuya Metal stand.
  • All officers and employees understand and consistently observe the laws, regulations, internal rules, and policies relevant to their duties.
  • We value open communication with a broad range of stakeholders—including customers, business partners, employees, and shareholders—and strive to maintain sound and constructive relationships built on trust.
  • Accounting records and financial information are prepared and reported accurately and completely in accordance with appropriate accounting standards and relevant legal requirements.

Human Rights

  • We do not tolerate any form of discrimination based on nationality, race, gender, sexual orientation, religion, belief, age, social status, disability, or marital status.
  • All employment is based on the free will of the individual, and we strictly prohibit any form of forced or compulsory labor.
  • We are committed to maintaining a healthy and respectful workplace environment that upholds individual dignity and diversity. We neither engage in nor tolerate any inhumane or unethical behavior, including power harassment, sexual harassment, or other forms of misconduct.
  • We strictly comply with local laws and international guidelines concerning child labor and the employment of young workers.

Labor practices

  • Respect for human life and safety is our highest priority. Every officer and employee complies with all applicable occupational health and safety laws and works to maintain a safe, comfortable, and health-conscious workplace environment that protects both physical and mental well-being.
  • Supervisors are responsible for monitoring the working conditions and health status of their team members, ensuring that employees are not subjected to excessive workloads or prolonged working hours that may adversely affect their health.
  • We identify and eliminate potential workplace hazards—including those related to electricity, gas, other energy sources, fire, vehicles, and the risk of falls—through rational management design, system control, preventive maintenance, safe operating procedures, and the proper use of personal protective equipment (PPE).
  • We provide continuous safety and health training and encourage employees to proactively identify and report potential risks.

Environment

  • We comply with all environmental laws, regulations, and ordinances relevant to our business activities, and promote the rigorous management and reduction of chemical substances that may cause adverse environmental impacts.
  • We are committed to energy conservation and resource efficiency, striving to reduce CO₂ emissions and minimize waste.
  • We manage water resources responsibly to prevent pollution and ensure the protection of surrounding ecosystems.
  • We actively promote the recycling and regeneration of precious metal resources as part of our contribution to a sustainable society.

Fair business practices

  • We comply with the Antimonopoly Act, the Unfair Competition Prevention Act, and all other laws and regulations designed to ensure fair and open competition.
  • We do not engage in any unfair business or trade practices, including the abuse of a superior bargaining position, delayed payments to suppliers, collusion with competitors, or any conduct that may restrict fair and free competition.
  • We strictly prohibit all illegal or unethical acts, including extortion, embezzlement, and any association with antisocial forces, as well as any actions that support or benefit such groups.
  • We take no part in terrorism, money laundering, or the use of illegal drugs, and we comply fully with all laws and regulations governing trade and export control.
  • We foster relationships of trust with suppliers and contractors through fair, transparent, and responsible procurement practices.
  • We maintain a clear separation between corporate and personal interests and refrain from any conduct that conflicts with the Company’s legitimate business interests.
  • We manage all tangible and intangible company assets—including products, facilities, equipment, information, and brand value—appropriately, while fully respecting the intellectual property and proprietary rights of others.
  • We do not tolerate bribery or corruption in any form. Gifts, entertainment, or other benefits provided to customers are offered only within the limits of applicable laws and socially accepted norms. Similarly, we do not accept such benefits from suppliers, vendors, or service providers, except where expressly permitted by law or legitimate business custom.
  • We protect all confidential information, documents, and data from information security risks, and do not disclose or leak such information externally without authorization or due care. Insider trading and any unfair securities transactions are strictly prohibited.
  • We handle all personal information of customers, officers, and employees—including personal identification numbers and specific personal data—in strict compliance with relevant laws and guidelines, ensuring its secure collection, storage, and use.

Consumer issues

  • We develop and provide safe, high-quality products and services that meet the needs of our customers. We continuously strive to enhance product safety and quality to ensure customer satisfaction.
  • We place the highest priority on product safety at every stage—from planning, development, design, and manufacturing to sales and after-sales service. We comply with all relevant product safety standards and make every effort to exceed legal requirements to ensure consistent safety.
  • If any product safety issue is identified, we promptly conduct traceability investigations, notify relevant customers, and take thorough measures to prevent recurrence by investigating root causes through swift information gathering and analysis.
  • We respond promptly and sincerely to all inquiries regarding product or service defects, accurately identify relevant information, and take preventive action to avoid accidents.
  • We conduct advertising and promotional activities truthfully and responsibly, based on facts and in line with social norms, while ensuring that the rights of other companies and individuals are fully respected.

Community engagement

  • We build positive relationships with local communities through open and sincere dialogue, aiming to achieve shared prosperity.
  • We recognize our role and responsibility as a corporate citizen and actively participate in social contribution activities.
  • We strive to develop and establish new technologies by leveraging our technical expertise and experience, contributing to the creation of a more prosperous and sustainable society through innovation.

Reporting and consultation

If an officer or employee discovers any conduct that deviates from this Code, they must report or consult with the Compliance Officer or their supervisor. Reports may also be submitted through the internal Whistleblowing Hotline. All officers and employees are expected to cooperate in fact-finding investigations related to potential violations.

The Company strictly prohibits any form of disadvantageous treatment or retaliation against individuals who report a violation or cooperate in an investigation and will take all reasonable measures to ensure that such treatment does not occur in any workplace. Any officer or employee who engages in retaliatory or disadvantageous behavior will be subject to disciplinary action.

This Code was established on May 1, 2025.

Establishment of Whistleblowing Policy (“Compliance Hotline”)

This notification is announced to the employees of Furuya Metal Co., Ltd. (herein after referred as the “Company”) and the employees of all the related parties which engage in continuous contractual business relationships with the Company, including but not limited to, those involved in undertaking, provision of services.

Furuya Metal has set up the “Compliance Hotline” to receive relevant notifications and/or consultations from the perspective of maintaining social order and corporate discipline and preventing misconduct by the employees of the Company.

Whistleblowing notifications and/or consultations to the “Compliance Hotline” are received by our legal staff assigned to manage compliance matters in strict confidence. Every whistleblower is protected against adverse (employment) actions (discharge, demotion, suspension, harassment, or other forms of discrimination) for raising allegations of business misconduct. Every whistleblower is protected even if the allegations prove to be incorrect or unsubstantiated. Those who participate or assist in an investigation will also be protected.

Who can blow a whistle?

  • Employees of the Company (Direct employees*, indirect employees)
  • Employees and researchers of business partners of the Company (service providers, vendors, janitors, consultants, etc.)

* Both full-time and part-time

Reportable conduct

  • Breach of laws in the business activities and/or serious misconduct that may invoke social criticism.
  • Sexual harassment, workplace bullying
  • Research misconduct
  • Any kind of consultation that is aimed at either maintenance of social order and discipline in the office or prevention of unlawful behavior and/or misconduct

Handling of Whistleblower Reports

Whistleblower reports are handled by our Compliance Committee. Once a report is accepted, investigators are appointed and the whistleblower is notified. If the report is not accepted, the whistleblower will be informed.
The investigation results and recommended actions are submitted by the Compliance Committee for review by either the Board of Directors or the Rewards and Disciplinary Committee. The final decision is then communicated to the whistleblower.
Throughout the process, the honor and privacy of the whistleblower are protected, no disadvantages are imposed on whistleblowers or cooperating individuals, and confidentiality is strictly maintained by the Compliance Committee members.

  • Privacy of whistleblower(s) is protected strictly by the staff of General Affairs & CSR Dept, that is responsible for “Compliance Hotline”.
  • Every whistleblower is protected against adverse (employment) actions for raising allegations of business misconduct.

Whistleblowing window

  • Whistleblowing notifications and/or consultations to the “Compliance Hotline” may be communicated by telephone, postal mail and/or e-mail. Anonymous contact is acceptable.
